1. General

These Terms of Use ("Terms") are concluded between Neoligrid OÜ (registry code 17620965, Pärnu, Estonia — "Neoligrid", "we", "us") and the business customer ordering the service or using the website secondop.eu ("Client", "you").

The service is intended for undertakings (companies, sole proprietors, organisations) acting in the course of their business. By placing an order you confirm that you act on behalf of such an undertaking and are authorised to bind it.

2. The service

"Teine Arvamus" / Second Opinion is an independent, fixed-price review of an IT, software or web development quote submitted by the Client. The standard deliverable is a written verdict of approximately one page that classifies the quote as fair, overpriced or red flags, together with a price benchmark, scope and technical observations, contract risk flags and negotiation points, plus an optional 15-minute follow-up call.

Additional competing quotes for the same project may be reviewed as an add-on at the price shown on the website.

3. Ordering and payment

  • An order is placed by submitting the form on the website or by email, followed by our written confirmation and upload instructions.
  • The fee is €149 per quote (plus VAT where applicable), or the fee stated on the website at the time of ordering. Prices for add-ons are stated separately.
  • Payment is made by invoice (bank transfer) or card. The review begins once payment has been received or an invoice has been accepted in writing, and all requested documents have been provided.
  • A contract is formed when we confirm the order in writing.

4. Delivery and the 48-hour window

We deliver the verdict by email within 48 hours of the later of (a) receipt of payment/accepted invoice and (b) receipt of complete documents. The window runs on business days (Monday–Friday, excluding Estonian public holidays) unless we have agreed otherwise in writing.

If we cannot meet the window for reasons within our control, we will inform you promptly and, at your choice, either deliver as soon as possible or refund the fee in full.

5. Client obligations

  • Provide the complete quote and any supporting documents, and describe your actual business needs truthfully.
  • Ensure you have the right to share the documents with us. Vendor quotes are normally addressed to you and may be shared with your advisers; if a quote contains an explicit confidentiality clause, please inform us.
  • Respond to clarification questions within a reasonable time; the 48-hour window pauses while we wait for essential information.

6. Nature of the verdict

The verdict is an independent professional opinion based on the documents provided, our market knowledge and publicly available benchmarks. It is not legal, tax or financial advice, not a technical audit of a vendor's existing systems, and not a guarantee of any project outcome. Final decisions — to sign, negotiate or decline — remain yours.

We do not recommend, endorse or refer specific alternative vendors.

7. Independence

We do not accept commissions, referral fees or other benefits from IT vendors in connection with reviews. If a reviewer has a conflict of interest with a vendor named in your quote, we will either assign another reviewer or decline the order and refund the fee.

8. Confidentiality

All documents and information you provide are treated as confidential, used only to perform the service, and retained in line with our Privacy Policy. We will not disclose them to the vendor or third parties, except as required by law.

9. Liability

  • Our total liability under or in connection with an order is limited to the fee paid for that order.
  • We are not liable for indirect or consequential loss, loss of profit, loss of business or decisions you make on the basis of the verdict.
  • Nothing in these Terms limits liability for intentional misconduct or gross negligence, or where such limitation is not permitted by law.
  • Any claim must be notified to us in writing within 6 months of delivery of the verdict.

10. Intellectual property

Upon full payment you receive a perpetual, non-exclusive licence to use the verdict for your internal business purposes, including sharing it with the vendor in negotiations. Our methodology, templates and benchmark data remain our property. Website content (text, design, graphics) is protected by copyright and may not be reproduced without permission.

11. Cancellation and refunds

  • You may cancel free of charge at any time before we begin the review; any fee paid is refunded in full.
  • Once the review has started, cancellation is not possible as the service is bespoke and consumed on delivery.
  • If you are dissatisfied with the depth of the verdict, contact us within 7 days — we will revise it or, at our discretion, refund part or all of the fee.
  • The service is offered to businesses; consumer withdrawal rights under the Estonian Law of Obligations Act do not apply.

12. Use of the website

You agree not to misuse the website, attempt to gain unauthorised access, submit malicious files, or scrape content. We may suspend access to protect the site. Information on the website is provided "as is" and may be updated without notice; prices shown at the time of order confirmation apply.

13. Governing law and disputes

These Terms are governed by the laws of the Republic of Estonia. Disputes are resolved by negotiation first; failing that, by Pärnu County Court (Pärnu Maakohus) as the court of first instance, unless mandatory law provides otherwise.
